Your agreement roadmap in short. Please read the full terms below before using Sourceinfi services.

1. When you sign up, your subscription renews automatically (monthly or annually).
2. You can change your service level at any time, but fees already paid are not refunded.
3. To cancel, let us know 15 days before your term ends. Your data is deleted after a defined retention period.
4. You can ask to pause your account for up to a year. We may keep your data for that time.
5. We may use your business logo on our site for promotion if you use our services.
6. We can update these terms, and we will tell you beforehand by updating this page.

Terms of service

Scope of service

Sourceinfi provides services for sourcing, fulfilment and growth of online stores. This includes a dashboard, data collection and delivery tooling. Support is primarily offered by email at hello@sourceinfi.com.

Free tier and trial

If you sign up for a free trial, it is available until the trial period ends or you subscribe. During the trial the service is provided as is, and we may suspend or terminate it without notice. We are not liable for any damages, and your data may be deleted at the end of the trial if you do not subscribe.

Lawful use of services

You agree to use Sourceinfi services only as authorized by the selected package. If your use violates this agreement or any law, Sourceinfi can terminate the agreement and services immediately.

Sourceinfi responsibilities

1. Sourceinfi commits to providing services with care, skill and diligence.
2. Communication with the customer will be through the assigned coordinator.
3. The customer will be informed of potential additional expenses beyond the agreed charges.
4. Sourceinfi will follow the customer’s reasonable instructions for the disposition of data and supplies when a service schedule ends.

Sourceinfi will make reasonable attempts to correct errors it is solely responsible for, by rerunning the service or by providing a credit equivalent to the charge. The customer must notify Sourceinfi in writing of errors within thirty days of receiving the services.

Customer responsibilities

1. Provide all necessary data and materials on time.
2. Ensure the accuracy, legibility and completeness of supplied data.
3. Coordinate with Sourceinfi through an assigned coordinator for decision-making.
4. Comply with Sourceinfi security procedures and operating guidelines.
5. Keep control of, and remain responsible for, account information, user IDs and passwords.
6. Not use the services for illegal, unsolicited or spam purposes.

The customer confirms that the information provided to establish an account is accurate and that it complies with privacy laws and obtains the consents needed for information collection. Sourceinfi is not liable for data loss due to technical reasons.

Term, termination and suspension

1. Initial term: the subscription term starts on the effective date of the subscription and ends as selected.
2. Termination: the customer may terminate if Sourceinfi fails to provide services or materially violates the agreement. Sourceinfi may terminate if the customer is overdue on payment, violates these terms or becomes insolvent.
3. After termination: fees owed to Sourceinfi are not cancelled or waived, and customer data and account settings are deleted within 30 days.
4. Suspension: Sourceinfi may suspend service without liability for violations, and will give advance notice unless directed otherwise by authorities.
5. Retention: a suspended account is kept for a maximum of 3 months and then deleted. On special request, the suspension period and data retention may be extended for an agreed duration.
6. Renewal: unless either party gives written notice of non-renewal at least 15 days before the end of the term, the subscription renews automatically under the then-current terms and pricing.

Fees, billing and taxes

• Fees in the initial order form apply to the initial term and each renewal. Sourceinfi may revise fees with 30 days’ notice; if you disagree you may terminate within 30 days of the notice.
• Recurring fees are billed on a mutually agreed period. One-time fees are non-refundable.
• Invoices and payments are deemed final unless disputed within 30 days. Keep your billing information current in the control panel.
• Electronic invoices are provided. Cards and other payment modes are accepted, and payment processing may involve third parties.
• Applicable taxes, duties and government levies are not included in fees and are the customer’s responsibility.

Modification of terms

Sourceinfi may update, amend or modify these terms. The customer is responsible for reviewing the latest version. If you disagree with a change you may terminate the agreement.

Limited warranty and limitation of damages

• Services are provided “as is” and use is at the customer’s risk. All warranties, express or implied, are disclaimed.
• Sourceinfi and its affiliates are not liable for damages resulting from service use. The customer’s sole remedy for service claims is limited to the agreed credits.
• The customer is fully responsible for the content and activities conducted through the services.

Intellectual property

• Each party retains ownership of its intellectual property rights. Sourceinfi owns materials created for its own use; the customer owns work product paid for in full.
• The customer permits Sourceinfi to use its logo in Sourceinfi’s customer list and on its websites.
• The customer grants Sourceinfi a license to use the intellectual property needed to provide the services and warrants it owns or is authorized to use those rights.
• Sourceinfi does not guarantee compatibility between customer equipment or software and its own systems.

Confidentiality

Sourceinfi will use the customer’s confidential information solely to provide the services or exercise its rights under this agreement, and will take reasonable precautions such as firewalls, encryption and access controls. Confidential information is disclosed only to employees, agents and subcontractors with a legitimate need to know.

Sourceinfi retains the right to monitor use of the services, to report conduct it reasonably believes violates the law, to provide information required by law or requested by a government agency, and to disclose that it provides services to the customer.

Indemnification

The customer agrees to indemnify, defend and hold harmless Sourceinfi, its affiliates, officers, employees, agents, partners, vendors and licensors from claims arising from any breach of this agreement or from activities the customer conducts through the services or in connection with its products or services.

Governing law

This agreement is governed by the laws of the jurisdiction stated in your order form. Any claim arising from it must be brought exclusively before the courts of that jurisdiction.

General

• Severability: if any provision is found invalid or unenforceable, the remaining provisions stay in force.
• Waiver: a waiver of one breach is not a waiver of any other breach, and must be in writing and signed.
• Assignment: neither party may assign this agreement without the other’s written consent, except that Sourceinfi may assign it to an affiliate or in connection with a merger or sale of a substantial part of its business.
• Entire agreement: this agreement, the privacy policy and all referenced documents are the entire agreement between the parties. Changes must be in writing and signed by both parties.
